Toutix Terms of Service

1. Acceptance

By creating an account or using the Toutix app, website, or services (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms form a binding contract between you and TouTix LLC, a Delaware limited liability company, with its registered office at 2810 N Church St, #553418, Wilmington, DE 19802, USA.

2. Eligibility

You must be 18 years old, or the age of majority in your jurisdiction, whichever is higher. By using Toutix you confirm you meet this requirement and have legal capacity to enter a contract.

3. Your account

You are responsible for:

The accuracy of the information you provide

Keeping your password and login credentials confidential

All activity that occurs under your account

Notify us immediately at daniel@toutix.com if you suspect unauthorised use.

4. Marketplace status

Toutix is a technology platform connecting ticket buyers with event organisers and promoters. Unless explicitly stated, Toutix is not the event organiser, host, or producer of any event listed. The promoter is responsible for the event itself, including its content, conduct, and cancellation decisions.

5. Ticket purchases

All ticket purchases are final at the point of confirmation, except where a statutory right of withdrawal applies in your jurisdiction.

Prices are shown inclusive of applicable fees and taxes where required by law.

A ticket is a revocable licence to attend, not a transfer of property. The promoter and venue retain the right to refuse entry under their published conditions.

Refunds are processed in accordance with our Refund Policy (section 7) and the promoter’s terms.

6. Resale and transfer

Tickets may be transferred to another Toutix user only via the in-app transfer feature.

Resale above face value is prohibited where local law forbids it (e.g. the UK Consumer Rights Act 2015 disclosure requirements; certain US state anti-scalping laws). Where resale is allowed, Toutix may charge a platform fee, disclosed before listing.

Tickets resold outside the Toutix platform may be voided without refund.

7. Cancelled or rescheduled events

If an event is cancelled, you are entitled to a refund of the face value plus Toutix booking fee, processed within 14 business days of the promoter confirming cancellation to us.

If an event is rescheduled, your ticket is valid for the new date. If you cannot attend, you may request a refund of the face value within 30 days of the new date being announced.

The promoter, not Toutix, is the party ultimately liable for event delivery. Toutix’s liability is limited to facilitating the refund.

8. Prohibited conduct

You agree not to:

Use bots, scrapers, or automated tools against the Service

Resell tickets above face value where prohibited

Reverse-engineer, decompile, or attempt to extract source code

Circumvent purchase limits, anti-fraud systems, or queueing systems

Impersonate another person or create accounts with false information

Use the Service for any unlawful purpose

Breach may result in account suspension, ticket cancellation without refund, and legal action.

9. Intellectual property

Toutix, the Toutix logo, the mobile app, the website, and all underlying technology are owned by TouTix LLC and protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes.

You retain ownership of content you upload (profile picture, support messages, etc.) and grant Toutix a worldwide, royalty-free licence to use it solely to operate the Service.

10. Limitation of liability

To the maximum extent permitted by law:

Toutix is provided “as is” and “as available”, without warranties of any kind.

Toutix is not liable for the conduct of event organisers, venues, or other users.

Toutix’s aggregate liability for any claim relating to a ticket is limited to the amount you paid for that ticket.

Toutix is not liable for indirect, consequential, special, incidental, or punitive damages.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless TouTix LLC, its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from your misuse of the Service or breach of these Terms.

12. Termination

We may suspend or terminate your account at any time for breach of these Terms, suspected fraud, or where required by law. You may close your account at any time via in-app settings or by emailing support@toutix.com. Sections that by their nature should survive termination (IP, liability, indemnity, governing law) will survive.

13. Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles. The state and federal courts located in New Castle County, Delaware shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that consumers resident in the United Kingdom, European Union, or other jurisdictions with mandatory consumer-protection rules may bring claims in the courts of their own country of residence where local law requires.

14. Dispute resolution

Before commencing legal proceedings, you agree to contact us at legal@toutix.com and attempt to resolve the dispute informally for 30 days. If unresolved, disputes will be settled in the courts named in section 13, or by binding arbitration where required by local law.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via in-app message and email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
